Chapter 1: Acceptance and Definitions

1.1 Acceptance of the Agreement

This document is a legal agreement between you (the “User”) and IGNITE AI COL S.A.S., a company incorporated in Colombia and the temporary operator of the Dipli technology tool (the “Platform”, “we”, “our”, or the “Service”).

By accessing or using any part of the website or Dipli’s free services, you agree to these Terms of Service. If you do not agree with any part of this Agreement, you must not use the Platform.

1.2 Modifications to the Agreement

For purposes of this document:

  • “Dipli” or “Platform”: the qualitative research technology solution developed by IGNITE AI COL S.A.S. and temporarily operated under its name.
  • “User” or “you”: any natural or legal person who accesses, interacts with, or uses Dipli’s free Service.
  • “Content”: any information, file, text, video, audio, image, or other material uploaded, transmitted, or displayed on the Platform.
  • “Account”: the unique entity associated with a user, email address, or organization that registers or actively interacts with Dipli.
  • “Personal data”: information that directly or indirectly identifies a natural person under Colombian law.
  • “Terms” or “Agreement”: this document, including its sections and annexes.
  • “Pilot”: an evaluation process in which Dipli processes User inputs to generate a structured pre-analysis and analysis base so the User can validate the quality, clarity, and usefulness of the results.

Chapter 2: Access and Use of the Service

2.1 Eligibility

The Service is available only to legal entities or adults with legal capacity to contract under Colombian law. By using Dipli, you represent and warrant that you meet these requirements.

2.2 Free access

Dipli offers a free version of its Platform with limited features (the “Free Service”). Access to this version does not require payment, but is subject to use, volume, and availability restrictions determined by Dipli.

2.3 Scope of the Service

The Free Service allows Users to explore and test basic qualitative data collection and analysis features. Dipli does not guarantee continuous availability or unlimited access and may modify, suspend, or discontinue any aspect of the Free Service without prior notice.

2.4 Availability

Access is subject to technical availability. Although Dipli will make reasonable efforts to maintain continuity, it does not guarantee uninterrupted or error-free access.

2.5 Registration and forms

To use certain features, the User must complete a contact or registration form with truthful, current, and complete information. The User must keep this information updated and is responsible for activities performed with the information provided.

2.6 Technical requirements

The Service requires an internet connection and may use third-party services such as embedded forms, email platforms, or external applications. Dipli is not responsible for interruptions caused by those external services.

2.7 Suspension or termination of access

Dipli may temporarily or permanently suspend access for a User who breaches these Terms or misuses the Platform, at the company’s discretion and without prior notice. Where contact information is available, notice may be sent by email.

2.8 Pilot conditions

The Dipli Pilot is an evaluation process through which the User validates the quality, clarity, and usefulness of generated results. It is provided at no monetary cost, but the User must provide feedback within fifteen calendar days after delivery, through a form, email table, or short meeting.

Dipli deliverables: During the Pilot, Dipli will provide support files, an Excel pre-analysis matrix, and a detailed report in Word format that includes an executive summary.

Chapter 3: Intellectual Property

3.1 Ownership of rights

All content, technology, design, source code, features, trademarks, logos, trade names, graphics, user interfaces, and other elements of the website and Dipli Platform are protected by national and international intellectual and industrial property laws.

3.2 Limited use

Dipli grants the User a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Free Service solely for internal, informational, or evaluation purposes and in accordance with these Terms. This license grants no ownership rights in the Service or Dipli content.

3.3 Restrictions

The User agrees not to:

  • Copy, modify, decompile, reverse engineer, publish, reproduce, distribute, transmit, or create derivative works based on Dipli Content.
  • Use Dipli trademarks, logos, or distinctive signs without prior written authorization.
  • Remove or alter copyright, trademark, or other proprietary notices in the Platform or related materials.

3.4 User Content

The User retains intellectual property rights in data, files, text, and other material uploaded or sent through the Service (“User Content”). By using the Service, the User grants Dipli a limited, non-exclusive, royalty-free, revocable license to store, process, and display that content solely to operate the Platform and provide the Service.

3.5 Anonymized data

Dipli may use aggregated and anonymized data generated from Service use for statistics, product improvement, internal model training, or market analysis, provided that no person or company can be identified directly or indirectly.

Chapter 4: License and Restrictions

4.1 License granted

Subject to compliance with these Terms, IGNITE AI COL S.A.S. grants the User a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Dipli Platform and Free Service for informational, evaluative, or internal purposes.

4.2 Purpose of the license

The license allows the User to access public information and basic features, test limited qualitative data tools, and view or export their own information in supported formats. It does not authorize resale, redistribution, indirect monetization, or offering services to third parties without Dipli’s express written consent.

4.3 General restrictions

The User agrees not to:

  • Access or attempt to access restricted, paid, or private features.
  • Reverse engineer, decompile, decode, or disassemble any part of the software or Platform.
  • Use scripts, bots, or automated tools to extract information from the Service.
  • Circumvent, disable, or interfere with security, authentication, or usage-control features.
  • Use the Service to collect sensitive information without consent or for unlawful purposes.
  • Sell, lease, sublicense, distribute, or commercially exploit the Service without authorization.

4.4 Regulatory compliance

The User must comply with all laws and regulations applicable in Colombia and their local jurisdiction, including rules on data protection, confidentiality, intellectual property, and technology use.

4.5 User inputs

The success and accuracy of Pilot analysis depend on the quality of the information provided. The User must provide clear, complete, and coherent information, including context documents, speaker-identified transcripts, the field guide used, and a table of contents defining chapters and subchapters.

Chapter 5: Confidentiality and Privacy

5.1 Confidentiality commitment

Dipli and IGNITE AI COL S.A.S. will keep confidential the information Users enter, transmit, or process through the Service, including research, audiences, segments, methodologies, results, and strategies. Unless authorized by the User, it will not be shared, sold, or used for purposes other than providing the Service, except as required by law.

5.2 Restricted access

Access to confidential information is limited to authorized Dipli personnel when strictly necessary for operation, support, or product improvement. Dipli personnel are subject to internal confidentiality agreements.

5.3 Personal data protection

Personal data collected through the website, contact forms, surveys, or other digital channels operated by Dipli will be processed under the Privacy Policy and applicable Colombian law. The User may exercise access, correction, update, cancellation, or deletion rights by writing to coo@dipli.ai.

5.4 Anonymized data and product improvement

Dipli may use aggregated and anonymized data, without identifying specific people or companies, for internal analysis, user-experience improvement, security maintenance, and training of its statistical or artificial intelligence models.

5.5 Transfers and third parties

Dipli may integrate third-party services such as forms, web analytics, or automation tools that process data under their own policies. Some may be located outside Colombia; the User accepts this international transfer under contractual clauses or equivalent legal mechanisms.

Chapter 6: Advertising, Brands, and Commercial References

6.1 Commercial recognition

Dipli may ask clients for permission to use their names, logos, or trademarks in marketing materials, user portfolios, or case studies to show real use of the tool.

6.2 Prior consent

Dipli will not use the User’s name, logo, trademark, or distinctive sign without prior express written authorization. The User may revoke that authorization by written notice to coo@dipli.ai at least five business days in advance.

6.3 Permitted uses with authorization

With consent, Dipli may include the User’s logo on its website, mention the User in commercial presentations, webinars, or institutional campaigns, publish brief non-confidential project descriptions, and quote authorized feedback for promotional purposes.

6.4 Limits on use

Use of the User’s brand or name will be professional, respectful, and positive. Dipli will not misrepresent the commercial relationship or create confusion about ownership, affiliation, or sponsorship.

Chapter 7: Limitation of Liability and Warranties

7.1 Nature of the Free Service

The User accepts that the Free Service is provided “as is” and “as available”, without express or implied warranties, including suitability for a particular purpose, continuity, permanent availability, or absence of errors.

7.2 Disclaimer of warranties

Dipli does not guarantee that the Service will meet the User’s expectations, be uninterrupted or secure, produce completely accurate results, or have every error corrected within a specific period.

7.3 Limitation of liability

To the fullest extent permitted by law, IGNITE AI COL S.A.S., its directors, employees, suppliers, and partners will not be liable for direct, indirect, incidental, special, consequential, or punitive damages, including lost revenue or contracts, loss of data or reputation, misuse of the Service, or human, technological, or interpretation errors.

7.4 User responsibility

The User is solely responsible for the accuracy of information entered, the proper use of data collected through Dipli, decisions based on Service results, and compliance with applicable law.

7.5 Force majeure

Dipli is not responsible for delays or failures caused by circumstances beyond its reasonable control, including network failures, third-party server outages, pandemics, natural disasters, or government action.

7.6 Special Pilot conditions and exceptions

Dipli may evaluate and take operational measures when circumstances could compromise analysis quality. If the User has no transcripts, the Pilot will begin only when usable, curated transcripts are delivered. Studies using stimuli must identify them consistently in transcripts. Experimental formats or outputs shared for feedback are outside the Pilot’s base scope and may change or be discontinued.

Chapter 8: Suspension, Cancellation, and Data Deletion

8.1 Right to suspend

Dipli may temporarily suspend access when a User breaches these Terms, misuses the Platform, threatens technical integrity or other users’ confidentiality, or provides false or incomplete registration information.

8.2 Unilateral termination by Dipli

Dipli may permanently cancel access when prohibited conduct is repeated, the Free Service is generally withdrawn, or the User seriously violates these Terms. This termination does not create a right to compensation.

8.3 User cancellation right

The User may request account cancellation or stop commercial communications at any time by writing to coo@dipli.ai. Cancellation will be processed within a reasonable period not exceeding ten business days.

8.4 Data deletion

The User may request deletion of personal data and uploaded content under Colombian data-protection law. Dipli will delete it from active systems, without prejudice to retaining backups for legal, audit, or regulatory reasons when required by law.

8.5 Reinstatement

If suspension or cancellation results from operational reasons not attributable to the User, Dipli may restore access if it considers that the grounds have been resolved.

Chapter 9: Governing Law, Jurisdiction, and Final Provisions

9.1 Governing law

These Terms are governed by the laws of the Republic of Colombia, including rules on personal-data protection, intellectual property, e-commerce, and civil liability.

9.2 Jurisdiction

Any dispute concerning the interpretation, performance, or validity of these Terms will be resolved by the civil courts of Bogotá D.C., Colombia.

9.3 Severability

If a provision is held invalid, illegal, or unenforceable by a competent authority, it will be interpreted according to applicable law without affecting the remaining provisions.

9.4 Entire agreement

These Terms constitute the entire agreement between the User and IGNITE AI COL S.A.S. regarding the Dipli Free Service and replace prior communications, proposals, or understandings concerning the same subject.

9.5 Assignment

The User may not assign or transfer rights or obligations under these Terms without Dipli’s prior written consent. Dipli may assign its rights to an affiliate, parent, successor, or acquirer without authorization.
