TERMS OF SERVICE (FREE USERS) – DIPLI

Chapter 1: Acceptance and Definitions
1.1 Acceptance of the Agreement
This document constitutes a legal agreement between you (“the User”) and IGNITE AI COL S.A.S., a company legally incorporated in Colombia, identified with NIT [IGNITE AI COL S.A.S. NIT], with address at Calle 95 #11A-37, Bogotá DC, Colombia, in its capacity as temporary operator of the Dipli technological tool (“the Platform”, “we”, “our”, “the Service”).
By accessing or using any part of the Dipli website or free services, you agree to be bound by these Terms of Service. If you do not agree with any part of this agreement, you should refrain from using the Platform.
1.2 Modifications to the Agreement
For the purposes of this document, the following definitions apply:

“Dipli” or “the Platform”: the qualitative research technology solution developed by IGNITE AI COL S.A.S., temporarily operated under its name.

“User” or “you”: any natural or legal person who accesses, interacts with, or uses the free Service provided by Dipli.

“Content”: any information, files, text, video, audio, images or other material uploaded, transmitted or displayed on the Platform.

“Account”: The unique entity related to a user, email address, or organization that registers or actively interacts with Dipli.

“Personal data”: any information that directly or indirectly identifies or may identify a natural person, under the terms of current Colombian legislation.

“Terms” or “the Agreement”: this document, including all sections and annexes.
Chapter 2: Access and Use of the Service
2.1 Eligibility
The Service is available only to legal entities or individuals of legal age with legal capacity to enter into contracts under Colombian law. By using Dipli, you represent and warrant that you meet these requirements.
2.2 Free access
Dipli offers a free version of its platform with limited functionality ("the Free Service"). Access to this version does not require any payment by the User, but is subject to usage, volume, and availability restrictions, as determined by Dipli in its sole discretion.
2.3 Scope of Service
The Free Service is intended to allow users to explore and test basic qualitative data collection and analysis features. Dipli does not guarantee continuous availability or unlimited access to features, and reserves the right to modify, suspend, or discontinue any aspect of the Free Service without prior notice.
2.4 Availability
Access to the Service is subject to technical availability. While Dipli will make reasonable efforts to ensure continuous operation, it does not guarantee uninterrupted availability or error-free operation.
2.5 Registration and forms
To use certain features of the Service, the User must complete a contact or registration form, providing accurate, up-to-date, and complete information. The User agrees to keep this information up-to-date and is responsible for all activities carried out with the data provided.
2.6 Technical requirements
Access to the Service requires an internet connection and may involve the use of third-party services such as embedded forms, email platforms, or external applications. Dipli is not responsible for interruptions resulting from failures in such external services.
2.7 Suspension or termination of access
Dipli may temporarily or permanently suspend access to the Service for any User who violates these Terms or misuses the Platform, at its discretion and without prior notice. In the event of suspension, you will be notified by email if contact is available.
Chapter 3: Intellectual Property
3.1 Ownership of rights
All content, technology, design, source code, functionalities, brands, logos, trade names, graphics, user interfaces, and other elements incorporated into the website and the Dipli Platform ("Dipli Content") are the exclusive property of IGNITE AI COL S.A.S., or its licensors or collaborators, and are protected by national and international legislation on intellectual and industrial property.
3.2 Limited use
Dipli grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Free Service solely for internal, informational, or evaluation purposes and in accordance with these Terms of Service. This license does not grant you any ownership rights in the Service or any Dipli content.
3.3 Restrictions
The User agrees not to:

Copy, modify, decompile, reverse engineer, publish, reproduce, distribute, transmit or create derivative works based on the Dipli Content, in whole or in part;

Use Dipli's trademarks, logos or distinctive signs without prior written authorization;

Remove or alter any copyright, trademark, or other proprietary notices incorporated in the Platform or related materials.
3.4 User Content
The User retains all intellectual property rights in any data, files, text, or other material uploaded, submitted, or integrated through the Service ("User Content"). By using the Service, the User grants Dipli a limited, non-exclusive, royalty-free, and revocable license to store, process, and display such content solely for the purpose of operating the Platform and providing the Service.
We are a company committed to protecting the data of our users and customers. Our privacy policy guarantees compliance with data protection laws applicable to qualitative research using artificial intelligence.
Dipli may use aggregated and anonymized data generated from Users' use of the Service for statistical purposes, product improvement, internal model training, or market analysis, provided that no individual or company is directly or indirectly identified.
Chapter 4: License and Restrictions
4.1 License Granted
Subject to compliance with these Terms of Service, IGNITE AI COL S.A.S. grants the User a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Dipli Platform and the Free Service, exclusively for informational, evaluative, or internal purposes of its organization.
4.2 Purpose of the license
The license granted allows the User to:

Access informational content and basic functionalities available publicly or via a form;

Test limited qualitative data collection, processing, or management tools within the Dipli environment;

View and export your own information in supported formats.
In our privacy policy, we include:
- The information we collect and how we collect it.
- The purpose of collecting personal data.
- Our procedures for storing, using, and sharing the personal information of our service users.
- Our communication with users, if any.
- Our position regarding the collection of information from minors.
- Updates to our privacy policy and contact information.
4.3 General restrictions
The User agrees not to:

Access or attempt to access restricted, paid or private features of the Service;

Reverse engineer, decompile, decode or disassemble any part of the software or the Platform;

Use scripts, bots or any automated tools to extract information from the Service;

Circumvent, disable or interfere with security-related, authentication-related or usage-control features of the Platform;
-
Use the Service to collect sensitive information without consent or for purposes prohibited by law;
-
Sell, rent, sublicense, distribute or commercially exploit the Service without authorization.
4.4 Regulatory compliance
The User agrees to comply with all applicable laws and regulations in Colombia and its local jurisdiction, including, but not limited to, regulations regarding data protection, information confidentiality, intellectual property, and use of technology.
Chapter 5: Confidentiality and Privacy
5.1 Confidentiality Agreement
Dipli and IGNITE AI COL S.A.S. undertake to maintain strict confidentiality of all information that Users enter, transmit, or process through the use of the Service, including, but not limited to, information related to research, audiences, segments, methodologies, results, or strategies.
Unless expressly authorized by the User, this information will not be shared, sold, or used for purposes other than providing the Service, except as provided by law or competent authority.
5.2 Restricted access
Access to confidential information will be limited exclusively to authorized Dipli personnel, and only when strictly necessary to ensure operation, technical support, or product improvement. All Dipli personnel are bound by internal confidentiality agreements.
5.3 Protection of personal data
In our privacy policy, we include:
- The information we collect and how we collect it.
- The purpose of collecting personal data.
- Our procedures for storing, using, and sharing the personal information of our service users.
- Our communication with users, if any.
- Our position regarding the collection of information from minors.
- Updates to our privacy policy and contact information.
Dipli collects, stores, uses and, in some cases, transmits personal data for the purposes of:

Contact the User,

Provide access to the Service,

Send information about improvements or updates,
-
Generate anonymous usage statistics.
The User may at any time exercise their rights of access, rectification, updating, cancellation, or deletion by sending a request to coo@dipli.ai.
5.4 Anonymized data and product improvement
Dipli may use aggregated and anonymized data —meaning that it does not identify specific individuals or companies— for internal purposes such as analysis, user experience improvement, security maintenance, and the training of proprietary statistical or artificial intelligence models.
This processing is carried out under the highest reasonably applicable anonymization standards, ensuring that no person or entity can be identified from such data.
5.5 Transfers and Third Parties
Dipli may integrate third-party services (such as forms, web analytics, or automation tools) that may process personal data under their own privacy policies. In such cases, Dipli will ensure that these providers have appropriate safeguards in place and comply with applicable regulations.
The User acknowledges that some of these services may be located outside Colombian territory and accepts such international data transfers under contractual clauses or equivalent legal mechanisms.
Chapter 6: Advertising, Use of Trademarks, and Trade References
6.1 Commercial recognition
Dipli values the opportunity to showcase real-world use of its platform as a means to build trust with new users. Therefore, it may request express authorization from its clients to use their names, logos, or trademarks in marketing materials, such as in its user portfolio or success stories.
6.2 Prior Consent
Dipli will not use the User's name, logo, registered trademark, or any distinctive sign without the User’s prior, express, and written consent. Such authorization may be revoked by the User at any time by providing written notice via email to coo@dipli.ai, with at least five (5) business days’ notice.
6.3 Types of Use Permitted Under Authorization
Based on the consent granted, Dipli may:

Include the User’s logo on its website, in the clients or testimonials section;

Mention the User as a use case in commercial presentations, webinars, or institutional campaigns;

Publish brief descriptions of the implemented project or solution (without disclosing confidential details);
-
Quote authorized excerpts from feedback or surveys for promotional purposes.

The use of the User’s brand or name shall always be conducted in a professional, respectful manner and within a positive context. Dipli commits to not misrepresenting the scope of the commercial relationship or using the User’s assets in a way that could cause confusion regarding ownership, affiliation, or endorsement.
Chapter 7: Limitation of Liability and Warranties
7.1 Nature of the Free Service
The User acknowledges and agrees that the Service provided by Dipli, in its free version, is offered “as is” and “as available,” without any kind of warranty, whether express or implied, including but not limited to warranties of fitness for a particular purpose, continuity, permanent availability, or error-free operation.
7.2 Exclusion of Warranties
Dipli does not warrant that:

The Service will meet the User’s specific expectations;
-
Access will be uninterrupted, secure, or error-free;
-
The results obtained from using the Service will be completely accurate or reliable;
-
Any errors or defects will be corrected within a specific timeframe
7.3 Limitation of Liability
In no event shall IGNITE AI COL S.A.S.., its directors, employees, providers, or partners be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Damages due to loss of data or reputation;

Damages arising from misuse or improper use of the Service;
-
Human, technological, or interpretation errors.
This limitation shall apply even if Dipli has been advised of the possibility of such damages and even if the remedy provided fails to fulfill its essential purpose.
7.4 User Responsibility
The User is solely responsible for:

The accuracy of the information entered into the Platform;
-
The proper use of data collected through Dipli;
-
The decisions made based on the results obtained through the Service;
-
Compliance with the legal regulations applicable to their professional activity.
7.5 Force Majeure
Dipli shall not be held liable for delays or failures in the provision of the Service caused by circumstances beyond its reasonable control, including but not limited to network failures, third-party server outages, pandemics, natural disasters, or governmental actions.
Chapter 8: Suspension, Cancellation, and Data Deletion
8.1 Right of Suspension
Dipli reserves the right to temporarily suspend access to the Service for any User who:

Violates these Terms of Service;
-
Engages in unauthorized, abusive, or fraudulent use of the Platform;
-
Puts at risk the technical integrity or confidentiality of other users;
-
Provides false or incomplete information in registration or contact forms.
In the event of suspension, the User will be notified, if possible, via the contact email provided, indicating the reasons and possible corrective actions.
8.2 Unilateral Termination by Dipli
Dipli may permanently terminate the User's access to the Service, with or without prior notice, when:

Repeated non-permitted conduct is detected;

The free service is discontinued generally;
-
The User commits serious violations of these Terms.
Such termination does not give rise to any right to compensation or reimbursement from Dipli.
8.3 User's Right of Cancellation
The User may request the cancellation of their account and/or the cessation of commercial communications at any time by writing to coo@dipli.ai. The cancellation will be processed within a reasonable timeframe, not exceeding ten (10) business days.
8.4 Data Deletion
The User may request the complete deletion of their personal data and uploaded content at any time, in accordance with Colombian data protection legislation (Law 1581 of 2012).
8.5 Reinstatement
In the event of suspension or cancellation due to operational reasons not attributable to the User, Dipli may reinstate access to the Service if it considers that the causes that led to such action have been resolved.
Chapter 9: Applicable Law, Jurisdiction, and Final Provisions
9.1 Applicable Law
These Terms of Service are governed by the laws of the Republic of Colombia, including but not limited to legislation on personal data protection (Law 1581 of 2012), intellectual property, electronic commerce, and civil liability.
9.2 Jurisdiction
Any conflict or dispute related to the interpretation, execution, or validity of these Terms shall be resolved by the civil courts of Bogotá D.C., with the parties expressly waiving any other forum or jurisdiction that may otherwise apply to them.
9.3 Severability of Clauses
If any provision of these Terms is deemed invalid, illegal, or unenforceable by a competent authority, such provision shall be interpreted in accordance with the applicable law, without affecting the validity of the remaining provisions.
9.4 Entire Agreement
These Terms constitute the entire agreement between the User and IGNITE AI COL S.A.S.. regarding the use of Dipli’s Free Service, and supersede any prior communication, proposal, or understanding, whether oral or written, related to the same subject matter.
9.5 Assignment of Rights
The User may not assign or transfer their rights or obligations under these Terms without Dipli’s prior written consent. Dipli may assign its rights to an affiliate, parent company, successor, or acquirer without requiring authorization.
